2,459 law firms worldwide practising Commercial Real Estate. Narrow down by city to find a firm near you.
Commercial real estate lawyers advise on property that earns money: offices, shops, warehouses, hotels, logistics parks and mixed use schemes. Typical matters include buying and selling buildings or portfolios, due diligence on title and permits, commercial leases, property financing and security, joint ventures, sale and leaseback deals and disputes with tenants or contractors.
The rules are national, and often local too. Land registers, planning law, transfer taxes and rules for foreign investors differ from one country to the next. Many deals are structured as a share purchase of a property company rather than a direct transfer, which changes the tax and the legal checks. In civil law countries a notary usually has to certify the transfer.
Fees in commercial real estate are mostly hourly, with fixed or capped fees common for standard leases and due diligence reports. Large transactions may use a fee that partly depends on closing. Pure contingency fees are banned or restricted in many countries, so firms often use capped or abort fee arrangements instead.
Deadlines run through every deal. Exclusivity periods, conditions precedent, pre-emption rights held by tenants or municipalities and tax filing windows all carry dates. Commercial leases also contain notice periods for breaks, renewals and rent reviews that are easy to miss. Before hiring, ask about the firm's experience with your asset type, who leads the team, how due diligence will be scoped, how fees are capped and whether the firm can cover tax and planning issues as well.
